Independent Contractor Agreement

 

This Independent Contractor Agreement is made and effective this date of __________ by and between ______________________________("Contractor") and Ginger Willis, doing business as Element of Fun Organizing (“Company.")

 

Now, therefore, Contractor and Company agree as follows:

 

Engagement and Scope

Company is in the business of providing residential and business organizing services for individuals, companies and any other businesses. Company desires to retain the services of Contractor, and Contractor desires to provide residential and business organizing services and other duties as assigned to the Company, under the terms and conditions set forth below.

 

Term

The term of this Agreement shall be from the Effective Date hereof and shall continue for a term of one year. This Agreement will automatically renew on a yearly basis on the anniversary of the Effective Date or such other basis as the parties may agree to in writing. Each party shall have the right to cancel this Agreement upon written notice. 

 

Place of Work

Contractor shall render services primarily at Client residences or business facilities, but will, upon request, provide the services at Company offices or such other places as reasonably requested by Company as appropriate for the performance of particular services.

 

Time

Contractor’s daily schedule and hours worked, under this Agreement, on a given day, shall generally be subject to Contractor’s discretion. Company relies upon Contractor to devote sufficient time as is reasonably necessary to fulfill the purpose of this Agreement.

 

Terms of Compensation: Fee or Rate

Company shall pay Contractor hourly for services performed pursuant to this Agreement. Contractor acknowledges that there is no guaranteed amount to be paid for Contractor's services and that the extent of the income depends upon Contractor's own skills and initiative. Contractor acknowledges that the Company will pay no other compensation to Contractor. The hourly fee will be determined with Contractor by Company prior to project start date. Fee structure is as follows:

New Organizers (2 years of experience or fewer) will receive an hourly rate of $30/hour as an assistant and $35/hour as a Lead Organizer. It is very uncommon for a New Organizer to receive a Team Lead position.

Intermediate Organizers (2-5 years of experience) will receive an hourly rate of $35/hour as an assistant and $40/hour as a Lead Organizer. 

Experienced Organizers (5+ years of experience) will receive an hourly rate of $40/hour as an assistant and $45/hour as a Lead Organizer. 

Off-site Assistants will receive an hourly rate of $30/hour.

 

Reimbursement of Expenses

Contractor, as an independent contractor, is responsible for paying all expenses it incurs in providing services. The Company will reimburse the Contractor ONLY for any pre-approved, normal and customary expenses incurred by the Contractor, which can be billed to a Client. Approved expenses will be reimbursed within 30 days of receipt of submission of expense report with proper documentation and receipts. Company is not responsible for lost receipts that result in an inability to bill Clients for expenses. Company does not reimburse Contractors for expenses incurred in doing business as an independent contractor. These expenses include mileage under two (2) hours from origination (unless authorized).

 

Billing Procedures

1. Contractors will receive payment via Zelle, PayPal, Venmo or similar digital payment method within 10 days.

2. Contractors will receive payment via mail within 10 days.

 

Materials and Supplies

It is expected that all Contractors have the following supplies of their own: cell phone, high-end labeler, toolbox, access to a computer, and e-mail.

In the event of an emergency when Contractor needs equipment to conduct the client project, Company can loan certain equipment on an as needed basis. 

 

No solicitation of Company Clients

Contractor acknowledges that Contractor will receive confidential and proprietary

information from Company, including Company’s methods of doing business

(“Confidential Information,” as defined below). Contractor acknowledges that this

information represents valuable business property and trade secrets of Company. In order to protect Company’s valuable trade secrets, during the term of this Agreement and for a period of one year thereafter, Contractor shall not work for a Client served by Company, either for his own account, or as a partner, shareholder, officer, director, employee, agent or otherwise; own, manage, operate, control, be employed by, participate in, consult with, perform services for, or otherwise be connected with a Client, unless prior authorization is given by Company.

 

Confidentiality and Nondisclosure

During the term of this Agreement, and thereafter, Contractor shall not, without the prior written consent of Company, disclose to anyone any Confidential Information.

 

Termination

This Agreement may be terminated as follows:

1. If Contractor is unable to provide the consulting services by reason of temporary or permanent illness, disability, incapacity or death.

2. Failure of Contractor to provide the quality of consulting services which meet the standards of the company.

3. Breach or default of any obligation of Contractor pursuant to Covenant Not to Compete, or, Confidentiality and Nondisclosure, of this Agreement.

4. Breach or default by Contractor or Company of any other material obligation in this Agreement, which breach or default is not cured within five (5) days of written notice from Company or Contractor.

 

Independent Contractor.

Company and Contractor intend to create only an independent contractor relationship by this Agreement. Contractor is not to be considered an agent or employee of the Company for any purpose. Contractor is not entitled to any employment benefit other than the payment specified herein. Company shall not be responsible for withholding income or other taxes from the payments made to Contractor. Contractor shall be solely responsible for filing all returns and paying any income, social security or other tax levied on Contractor’s income. 

 

Compliance with Laws

In performing this Agreement, Contractor shall comply with all applicable Federal, State and local laws, and shall hold Company harmless from Contractor’s failure to do so.

 

Controlling Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia.
